Agreement Between User and Smooth Operator

Welcome to Smooth Operator. These Terms of Service ("Terms") govern your access to and use of the Smooth Operator website at operatesmoothly.com (the "Site") and our SOP generation services, features, content, and applications (together with the Site, the "Services"). Please read these Terms carefully before using our Services.

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

1. Account Registration and Security

To access certain features of the Services, you may be required to register for an account. When you register, you agree to provide accurate, current, and complete information about yourself. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to close your account at any time for any or no reason.

You must be at least 18 years old to create an account and use our Services. By creating an account and using our Services, you represent and warrant that you are at least 18 years old.

2. Credit System and Payments

Our Services operate on a credit-based system. Credits are required to generate SOPs through our Services.

Credit Purchases

You may purchase credits through our Site. All payments are processed securely through Stripe. By making a purchase, you agree to provide current, complete, and accurate purchase and account information, and you authorize us to charge your chosen payment method for the credits you purchase plus any applicable taxes and other charges.

Pricing and Refunds

All prices are shown in US dollars and are subject to change at any time. We do not offer refunds for purchased credits except as required by law. In exceptional circumstances, we may, in our sole discretion, offer a refund or credit adjustment.

Credit Expiration

Credits do not expire and remain valid as long as your account is active. However, if your account is inactive for a period of 24 consecutive months, we reserve the right to expire any unused credits.

3. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party right
  • Generate, upload, or transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, invasive of another's privacy, or otherwise objectionable
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
  • Engage in any activity that interferes with or disrupts the Services
  • Attempt to gain unauthorized access to the Services or related systems or networks
  • Use automated scripts, bots, or other software to access or scrape the Services
  • Resell, reproduce, duplicate, copy, or redistribute any part of the Services without our prior written permission
  • Generate SOPs for illegal, harmful, or unethical activities

4. Intellectual Property Rights

Our Intellectual Property

The Services and all content, features, and functionality thereof, including but not limited to all information, software, text, graphics, logos, images, and the design, selection, and arrangement thereof, are owned by Smooth Operator, its licensors, or other providers and are protected by copyright, trademark, patent, and other intellectual property or proprietary rights laws.

Generated SOPs

When you use our Services to generate SOPs:

  • You retain ownership of the content you provide to generate SOPs
  • You own the SOPs generated through our Services based on your inputs
  • We grant you a perpetual, worldwide, non-exclusive, royalty-free license to use, copy, modify, and distribute SOPs generated through our Services
  • You grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your inputs for the purpose of providing and improving our Services

Feedback

If you provide us with any feedback or suggestions regarding the Services, you hereby assign to us all rights in such feedback and agree that we shall have the right to use such feedback in any manner we deem appropriate without any obligation to you.

5. User Content

Our Services may allow you to input business information, processes, and other content ("User Content"). You retain all rights in your User Content, and you are solely responsible for it. By providing User Content to our Services, you grant us a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, and store your User Content to provide and improve our Services.

You represent and warrant that:

  • You own or have the necessary rights to your User Content and the right to grant the license to us
  • Your User Content does not violate the privacy rights, publicity rights, copyright, contractual rights, or any other rights of any person or entity
  • Your User Content does not contain any material that is false, defamatory, or misleading

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SMOOTH OPERATOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SMOOTH OPERATOR DOES NOT WARRANT THAT THE SERVICES WILL FUNCTION UNINTERRUPTED, ERROR-FREE, OR SECURELY, OR THAT ANY DEFECTS WILL BE CORRECTED. SMOOTH OPERATOR MAKES NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY CONTENT AVAILABLE THROUGH THE SERVICES, INCLUDING GENERATED SOPS.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SMOOTH OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL SMOOTH OPERATOR'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID SMOOTH OPERATOR IN THE PAST TWELVE MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless Smooth Operator and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your User Content caused damage to a third party.

9. Termination

We may terminate or suspend your account and your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

If you wish to terminate your account, you may discontinue using the Services and contact us to request account deletion. Deleting your account may not remove all information associated with your account from our systems.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Modifications to the Service and Terms

We reserve the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

We may revise these Terms from time to time. The most current version will always be posted on our Site. If a revision, in our sole discretion, is material, we will notify you via email or through the Services. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the revised Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in California.

You agree to first contact us and attempt to resolve any dispute informally before filing any formal legal action.

12. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Smooth Operator regarding the Services and supersede all prior agreements and understandings, whether written or oral.

Waiver and Severability

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.

Force Majeure

We shall not be liable for any failure or delay in the performance of our obligations under these Terms if such failure or delay is due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, flood, pandemic, or strikes.
